Meet Our Special Situations M&A Expert Stuart Deacon

Special Situations M&A is about getting a deal done when conventional corporate finance transaction options are not available. It requires commercial judgement, creativity and the ability to act quickly in complex situations.

A specialist in special situations M&A, Stuart advises business owners, private equity sponsors, lenders, insolvency practitioners and management teams on transactions involving a broad spectrum of stressed, distressed, underperforming and non-core businesses. His blend of M&A and restructuring experience allows him to find practical solutions that protect value, secure investment and create pathways to recovery.

 

Bringing M&A Expertise to Special Situations

Stuart began his career at EY, qualifying as a chartered accountant before moving into corporate finance, initially focusing on due diligence and later M&A advisory. Early in his career, he developed expertise in the telecommunications, media and technology sector, including secondments with Vodafone and Cable & Wireless plc.

A defining moment came early during the global financial crisis when he joined the team working on Nortel Networks, one of the world's largest insolvencies of that period. Over more than two years, Stuart supported the UK administration/C11/CCAA, business carve-outs and international sale processes across multiple jurisdictions, being part of a team that generated unprecedented returns to most creditors.

The experience demonstrated how corporate finance expertise could help deliver better restructuring outcomes and ultimately led him to establish a dedicated special situations M&A capability within the restructuring community, focused on distressed transactions and business rescue..

 

Delivering Value in Complex Situations

Stuart's work sits at the intersection of M&A and restructuring, finding solutions when conventional sale processes or refinancing options are no longer sufficient. Whether advising investors, lenders or insolvency practitioners, his priority is to maximize value and deliver practical outcomes that work for stakeholders.

He has advised on a range of high-profile engagements, including the restructurings and sales of businesses such as AllSaints Spitalfields, Republic, DW Sports Gyms and iconic brands such as Harland & Wolff and Norton Motorcyles. More recently, he has worked on transactions involving healthcare, technology and electric vehicle businesses, including Babylon Healthcare, Arrival and Volta Trucks. The recent successful accelerated sale of Instinctif Partners, an LDC-backed communications agency, required multiple parallel transactions across different business lines and geographies, helping preserve jobs, protect client relationships and secure value for investors. For Stuart, successful restructuring is rarely about a single transaction. It is about understanding each part of a business and identifying the solutions for each of the constituents.

Special situations transactions often involve competing stakeholder interests, compressed timelines and difficult decisions.

Stuart's approach is highly relationship-driven. He believes the best outcomes come from bringing stakeholders together with common platform information and clearly articulated options.

Supporting Private Equity and Private Credit

Much of Stuart's current work centers on private equity and private credit clients. As portfolio holding periods continue to lengthen and conventional exit horizons become more challenged, investors are seeking ways to address underperforming assets while protecting value and delivering the required returns.

At the same time, the growth of private credit has created greater flexibility for businesses facing financial pressure. Additional liquidity can extend the decision-making window, but it does not necessarily resolve the underlying strategic or operational issues.

Stuart believes early engagement is critical. Businesses that assess their options before liquidity becomes constrained are typically in a much stronger position to preserve value and achieve a successful outcome.

 

Looking Ahead

Stuart expects demand for restructuring and special situations advice to remain strong as investors, lenders and businesses continue to operate in a more challenging transaction environment.

His focus is on supporting private equity funds with mature assets, working alongside private credit providers on underperforming portfolio companies, and helping corporates and lenders identify alternative routes to value in stressed, underperforming or non-core situations.

His advice is straightforward: address challenges early. The more options available, the greater the opportunity to shape a successful outcome.

 

Outside Work

Away from work, Stuart enjoys spending time with his two young children. He is also a passionate musician with a longstanding interest in classical music.

A pianist, organist and baritone, he performs with several choirs, including the City of London Choir, appearing regularly at London venues such as the Royal Albert Hall, Royal Festival Hall and Cadogan Hall.

Music provides a welcome contrast to the pace of restructuring, offering an opportunity to focus, recharge and collaborate with people from a wide range of backgrounds.
