Stuart Deacon is a Managing Director leading the Special Situations M&A practice, based in London.

He specializes in advising on complex M&A and special situations transactions, including carve-outs, non-core disposals, underperforming asset realizations, accelerated sales processes, distressed transactions, restructurings and pre-pack deals. With more than 20 years of experience, Stuart works closely with boards, shareholders, lenders, sponsors and restructuring professionals to deliver transactions in highly technical and often time-critical environments.

His project work focuses on leading complex sale and acquisition processes across a broad range of sectors, frequently supporting businesses undergoing operational or financial change. Stuart advises clients through the entire transaction lifecycle, developing and executing solutions that maximize stakeholder value while navigating challenging circumstances and evolving market conditions.

Prior to joining Kroll, Stuart was Managing Director at Alvarez & Marsal and Partner in the Business Restructuring practice at BDO, where he was recruited to build the firms’ special situations practices in the UK and Europe.  Earlier in his career, as  Director in Ernst & Young’s Transaction Advisory Services practice, he was an early pioneer of  accelerated M&A offering, following his work on the landmark international Nortel Networks restructuring and sales process.

Throughout his career, Stuart has led numerous high-profile transactions across industries including telecommunications, technology, media, retail, consumer products, healthcare, leisure and industrials. He is recognized for his strong technical transaction expertise and deep knowledge of buyer communities within both UK and international restructuring environments.  He is a frequent contributor to industry discussions in the technology, media and telecommunications sectors.

Stuart is a Fellow of the Institute of Chartered Accountants in England and Wales (ICAEW) and a member of the Institute for Turnaround. He holds a Bachelor of Science (Honours) in chemistry and business management from King’s College London.

Outside of work, Stuart is an active musician and serves as a trustee of the City of London Choir. He is also involved in several local community development organizations and charitable initiatives in the Roehampton community.
