Brandon Nett is a managing director in the Transaction Advisory Services practice. He leverages over 20 years of experience in transaction advisory services, tax structuring, tax due diligence, corporate taxation, and public accounting. Brandon has advised a wide range of clients, from private equity and venture funds to strategic corporate buyers and closely held businesses or family offices on tax matters related to buying and selling businesses and other strategic transactions.
He specializes in the tax structuring of acquisitions and divestitures, buy and sell-side tax due diligence, tax modeling, tax structure of carve-outs/spin-offs/partial divestitures, tax gross-up payments, tax attribute analysis (e.g. Sec. 382, E&P, basis studies), the tax deductibility of transaction expenses, accounting and reporting for the tax aspects of a transaction, and tax integration planning and execution.
Prior to joining Kroll, Brandon was a leader in the national M&A practice at Andersen Tax, and prior to that he was the West region M&A tax leader at Grant Thornton. In these roles, Brandon focused on delivering M&A tax solutions to a broad range of clients and stakeholders. Brandon began his career in the corporate tax group of PricewaterhouseCoopers, where he provided corporate tax advice and tax reporting support to clients ranging from Fortune 500 to mid-market businesses, over a wide range of industries.
Brandon holds a Master of Taxation from Arizona State University and undergraduate degrees in accounting and political science from the University of Washington. He is a Certified Public Accountant in Washington and Arizona and a member of AICPA and the Washington Society of CPAs.
