Private Equity Cybersecurity Services

Private Equity Cybersecurity Services

Kroll provides one advisory relationship that extends from pre-acquisition diligence to exit: quantified cyber risk at close, measurable posture improvement across the hold and a defensible narrative at sale.

One Relationship, Two Sides

Cyber risk moves with the asset. Kroll provides a continuous cybersecurity advisory model for private equity sponsors and their portfolio companies (portcos)—from pre-acquisition diligence through hold-period monitoring and exit readiness.

A single-advisory relationship moves with each portco from diligence through exit: aligned to the sponsor’s value creation plan, reporting against a common control framework and building a defensible cyber narrative across the hold period.

For the Firm

Portfolio monitoring for private equity firms to measure and manage the risk presented by their portfolio, including the ability to use findings for pre-investment and exit transactions.

For Portfolio Companies

Named-advisor engagement at each portco, spanning the full range of proactive and reactive cyber needs, from assessments and hardening to detection, response and recovery, against one common control framework.

Support at Every Phase of Your Investment

The four phases below are the cyber engagements purpose‑built for the private equity hold cycle, from pre‑acquisition diligence to exit. They draw on the full breadth of Kroll’s cyber, risk and financial advisory practice, so a sponsor can extend the relationship well beyond these services as needs arise.

A defensible, quantified view of cyber risk that informs price, deal terms and Day 1 priorities

What It is

Cyber diligence calibrated to the deal timeline and target complexity. Engagements scale from rapid red-flag assessments on compressed timelines to deep-dive reviews for complex or regulated targets, every engagement translating findings into deal-relevant terms.

Why It Matters

The goal is not a checklist. Findings are quantified as remediation costs; mapped to regulatory exposure; and structured as inputs to the purchase agreement, rep and warranty discussions, and the 100-day value creation plan. Where pre-close access permits, technical validation layers onto document review: external attack surface scanning, dark web and credential exposure analysis, and lightweight identity and tenant configuration review.

Key Deliverables

  • Cyber risk diligence report with quantified remediation costs
  • Insurance and prior incident posture analysis
  • Deal term and rep and warranty input memo
  • External attack surface scan and credential exposure (optional)

Cyber Risk at Scale: Safeguarding Portfolio Value in Private Equity

Kroll surveyed more than 300 global PE executives to understand cybersecurity risk and fund-level management practices. It found that incidents are becoming more frequent and there is an average financial impact of $2.1 million (mn), often scaling up to $10 mn. Larger firms tend to have stronger defenses, governing through strict mandates and centralized platforms, causing smaller firms to suffer disproportionately more from costly remediation and disrupted deals.
