Todd Kaltman joined Kroll in 2000. He is a Managing Director in the Los Angeles office and a member of the firm's Transaction Opinions practice. He has more than 30 years of experience in corporate and securities valuation.

Todd specializes in providing fairness opinions, solvency opinions and business valuations for a wide variety of purposes. He has advised both public and private companies and their boards of directors on numerous corporate transactions, including mergers and acquisitions, leveraged buy-outs, going-private transactions, spin-offs, and recapitalizations. Todd has experience across a broad range of industries and has substantial transactional experience in the software/technology sector.

Some noteworthy transactions on which Todd has advised corporate boards and private equity sponsors include:

  • SAP SE’s (XTRA:SAP) acquisition of Taulia, Inc. and minority equity investment in Icertis, Inc. (fairness opinions)
  • Qualtrics International Inc.’s (NasdaqGS:XM) acquisition of Clarabridge, Inc. (fairness opinion)
  • RingCentral, Inc.’s (NYSE:RNG) authorization of stock buyback plans (multiple solvency opinions)
  • Cloud Software Group, Inc.’s leveraged redemptions of preferred shares (multiple solvency opinions)
  • Genesys Cloud Services’ leveraged dividend distributions (multiple solvency opinions)
  • HP Inc.’s (NYSE:HPQ) acquisition of the HyperX gaming peripherals business of Kingston Technology Company, Inc. (fairness opinion)
  • Numerous solvency opinions related to leveraged dividend recapitalization transactions for portfolio companies of Vista Equity Partners, The Carlyle Group, KKR, TPG, Hellman & Friedman, ZMC, and others.

Todd received his B.S. in business administration, magna cum laude, from California State University, Northridge. He is a chartered financial analyst (CFA) charterholder and he holds the Financial Industry Regulatory Authority Series 7 and 63 licenses. He is also a member of the CFA Institute and the CFA Society of Los Angeles.
